Kingsbury underwent a ster ilization procedure performed by Dr. Charles Thompson at Frisbee Memorial Hospital, Rochester, N.H., in April 1977 after the birth of her third child. But 18 months later, she deli vered her fourth child. She and her husband, Bobby, then filed a federal suit against Thompson; Dr. Alexander Smith, who re commended Thompson; and the hospital. A federal court turned to the state Supreme Court to rule whether state law permitted such a suit and to assess the type of damages that could be awarded. A favorable vote by two- thirds of Marathon’s sharehol ders was needed to seal the second-largest merger in U.S. history, but acquiring that mar gin appeared to be no problem for U.S. Steel. The largest merger was when DuPont acquired Conoco last year for $7.8 billion. The shareholders meeting, called to order at 10 a.m. by Marathon President Harold Hoopman, quickly turned into a shouting match when Hoopman threatened to turn off a dissi dent shareholder’s microphone. Hoopman got into an argu ment with Jim McElroy of HFM Associates, a financial consult ing firm that has been advising the dissidents. “You’ve got many sharehol ders who feel they’ve been sold down the river,” McElroy said. “Why did you do this?" Hoopman began to answer, but was interrupted by McElroy. “Let’s be courteous to each other or we’ll get rough with each other," Hoopman warned. “I’m a roughneck.
