suing investment company

HOUSTON — Heart surgeon
Denton A. Cooley and six other in
vestors are seeking $9.3 million from
a Houston-based brokerage firm, ac
cusing the firm of fraud in a down
town office tower investment.
The investors are suing Under
wood Neuhaus & Co. for allegedly
failing to keep them informed of
“serious problems” in the devel
opment of the 45-story Unitedbank
Plaza in downtown Houston.
Besides Cooley, investors include
Edgar A. Smith, president of Alamo
Barge Lines Inc. and senior chair
man of the board of Commonwealth
Financial Group; Houston attorney
Walter P. Zivley; George C. Hardin
Jr., former vice chairman of Inte
grated Energy Inc.; Houston oilman
Loren G. Horton; and Houston sur
geons Richard M. Hirshberg and
Thomas M. Biggs.
The investors are suing Under
wood Neuhaus and three of its exec
utives, David M. Underwood, John
R. Biggs and James G. Brannon.
The brochure Underwood Neu
haus used to explain the deal was
cryptic and hard to understand,
Dana G. Kirk, attorney for the inves
tors, said.
The investors signed $8.2 million
in promissory notes the developers
used to secure the land loan for the
project. Later, the investors renewed
the promissory notes in a second in
vestment agreement.
Underwood Neuhaus and the de
veloper, Wortham & Van Liew, were
aware the project had a $3 million
cost overrun during construction
and that the project had lost its fi
nancing, according to the suit filed
March 29 in U.S. District Court. The
investors allege that they were not
told of the problems when they were
asked to sign the second investment
agreement.
On Sept. 20, 1984, Citicorp noti
fied the partnership that the $94
million construction loan was in de
fault. Citicorp later filed foreclosure
proceedings against the building,
but has not complete
