HOUSTON (A*)—Billionaire rec
luse Howard Hughes will sell the
cornerstone of his financial em
pire, the Houston-based Hughes
Tool Co., officials of the firm said
Monday.
The company, which employs
more than 3,000 persons, is the
nation’s largest manufacturer of
oil and gas well drilling bits.
In the surprise move, Hughes
Tool announced the filing of a
registration statement with the
Securities and Exchange Commis
sion for a proposed offer of five
million shares of common stock
of a new company hearing the
same name, which will acquire
assets and business of the oil tool
division of the Hughes empire.
A Hughes spokesman in Los
Angeles said that Hughes, now
residing in Nicaragua, will own
no interest in Hughes Tool after
the proposed offering.
Hughes has been the sole stock
holder in the company, founded
by his father on a revolutionary
new oil well drilling bit the elder
Hughes invented in 1909.
From this beginning, the com
pany became the keystone of
Hughes’ subsequent ventures into
airlines, movie making, aircraft
manufacturing, mining properties,
hotels and casinos in Nevada and
substantial real estate holdings.
Hughes moved from Houston
to California in the mid-1930s
after acquiring the aircraft manu
facturing firm and Trans World
Airlines. He later sold Trans
World but since has purchased
Air West.
He also holds interest in air
lines in Nicaragua and has an
nounced plans to extend Air West
operations in Vancouver, British
Columbia.
Earlier this year, Hughes tried,
and failed, to acquire Houston-
based Texas International.
The proposed stock offering
calculates the maximum offering
price of the stock at $28 per share,
meaning Hughes could realize
$140 million from the sale.
According to information filed
with the SEC, Hughes Tool netted

pany has followed the policy of
only renting and never selling the
bit.
The proposal to make a public
offering of the Hughes Tool Co.
stock marks the first time that
any of the Hughes holdings would
be in the hands of the public.
