Section 2 Friends of this Association or of the Col- lege may become Associate Members of the Association upon election by majority vote of those present at any regular meet- _ ing of the Association Council. They shall “enjoy all the privileges of membership except the right to vote or to hold office. Section 3 Any person who has rendered conspicuous service to this Association, or to the A. & ~ M. College of Texas, or to the advancement of education in Texas, may, by a two-thirds ~ vote of the Association Council present at the annual meeting, be elected an honorary member of the Association, who shall enjoy ~ 8ll of the privileges of membership, except the right of holding office. ~_ ARTICLE II—ORGANIZATION ~ Section 1. The Association Council The governing body of the Association shall be an Association Council composed ~ and selected, as follows: (a) One representative from each regu- larly chartered local Texas A. & M. Club, elected by a majority vote of such local chartered club at an election at a meeting of such local club on or before March 1st in each calendar year. In the event of a vacancy due to death or resignation of such representative, the local club shall fill such vacancy at its next meeting and its Presi- dent shall serve until such meeting is held. (b) One representative from each regu- larly organized class that has graduated from the College, with the exception of ~ those older classes which are joined togeth- er as members of the “Pioneer” or “Old ~ Guard” classes, which class group shall be represented by its class agent. Class repre- sentatives shall be elected by each senior class in the College and further elections of such representatives shall be held at each reunion of such class every five years there- after. Pending such elections, the desig- nated class agent shall serve as the repre- sentative of his class. In the event of a vac- ancy due to death or resignation of such representatives, the President of such class ~ shall fill the vacancy himself until an elec- tion can be held, or shall designate another ~ member of the class to fill the vacancy. ~ (e) Each living Past President of the As- sociation shall be ex officio a member of ~ the Council. (d) The elected officers of each senior class and the President of each junior class on the campus shall ex officio be members of the Council. (e) One representative on the Council shall Pe elected from each of the Texas State Senatorial Districts as hereinafter provided. (f) Ten (10) Councilmen-at-large shall be elected as hereinafter provided. The representatives from each chartered club, from each class, from each state Sen- atorial district and from the junior and senior classes on the campus shall be per- mitted to designate a proxy for represen- tation in any given meeting of the Coun- cil, provided that such proxy shall also be a member of the same chartered club, or of the same class, or reside in the same dis- trict, as the Council member he represents, and provided further that his duly signed proxy appointment be presented to the President or Secretary of the Association before the opening of the meeting at which he serves. Section 2. The Executive Board There shall be an Executive Board of ten members to be elected by the Council at its annual meeting in the spring of each year. The President and Vice Presi- dents of the Association, and the Executive Secretary, shall be ex officio members of the Executive Board. The remaining six members of the Board shall be elected to serve for two years, irrespective of their continued membership on the Council. Three shall be elected each year to provide over- lapping terms of service. Section 8. Officers The officers of the Association shall con- sist of a President, two Vice Presidents and the Executive Secretary-Treasurer, who shall be elected as hereinafter provided. Section 4. The Executive Secretary The Executive Secretary shall be a mem- ber of the Association and shall be appoint- ed by the Executive Board at the beginning of each year at a salary to be fixed by the Board. Section 5. Student Loan Fund Trustees The Student Loan Fund Trustees shall consist of the President and the Executive Secretary ‘of the Association, and three members of the Association to be elected by the Council at its annual meeting. Section 6. Athletic Council Representatives Former student representation on the Athletic Council of the College shall con- sist of two men elected by the Council as follows: one to be elected each year to serve a two-year term. The Texas A. & M. Development Fund Direetors Association representation om the Board of Directors of the Texas A. & M. Devel- opment Fund shall be elected annually by the Council, as requested and required by the Bylaws of the Fund, provided such By- laws meet the approval of the Council. Section 8 Vacancies A vacancy in the office or the President shall be filled until the next annual elec- tion by the Vice Presidents in order of seniority by class years. Other vacancies in elected offices shall be filled by the Ex- ecutive Board until the next duly provided election by the Council. ARTICLE III— NOMINATIONS AND ELECTIONS Section 1. The Association Council (a) Members of the Association Council as provided in Article II, Section 1, para- graphs A, B, C and D shall be elected as provided in those respective paragraphs. (b) District and at-large members of the Associaton Council as provided in Article II, Section 1, paragraphs E and F, shall be nominated and elected as follows: On or before January first of each year the President of the Association shall ap- point a Nominating Committee of not less than five members and announce their names and addresses in the next succeeding issue of The Texas Aggie. That Committee shall nominate at least one member of the Association from each of the State Senat- orial Districts for election as a member of the Association Council. The Committee shall also nominate at least ten members of the Association for at-large representa- tives on the Association Council. The Com- mittee’s nominations shall be placed in the hands of the Executive Secretary of the Association not later than February first of each year. Other nominations may be made by writ- ten petition signed by not less than 25 members of the Association and placed in the hands of the Executive Secretary not later than February first of each year. All nominations shall be placed upon a ballot, with the additional provision for a write-in vote. The ballot shall be mailed, or printed in The Texas Aggie, not later than February 15 each year. For election of District Councilmen mem- bers of the Association may vote only for the Councilman representing the district in which they reside. For election of at- large Councilmen all members of the Assoc- iation are eligible to vote. Ballots or votes must be signed by the Association member voting and giving his address and class. All ballots or votes must be delivered to the office of the Association at College Station, Texas, not later than five p.m., March first. A Teller’s Commit- tee, appointed by the President, shall count the ballots and certify to the President the names of those elected, not later than March 5. The Executive Secretary shall at once notify the Councilmen of their election. Section 2. The Executive Board, the Officers, Student Loan Fund Trustees, Representatives on Athletic Council, and Directors . of the Texas A&M College De- velopment Fund, The above offices shall be filled by major- ity vote of Councilmen present at the an- nual spring meeting of the Association Council. In order that advance considera- tion may be given to these elections the President of the Association shall appoint a Nominating Committee of not less than five members of the Council not later than March 10. It shall be the duty of the Com- mittee to suggest to the Council nominees for the above offices. Other nominations may be made by petition signed by five members of the Council. y Election of these officers shall be by majority vote of Councilmen present at the annual spring meeting of the Council. Those elected shall serve until their suc- cessors are named. In the event of death or resignation a successor shall be named by the Executive Board or by the next regular meeting of the Association Coun- cil. ARTICLE IV—DUTIES Section 1. The Association Council The Council has a double responsibility. It shall be the governing body of the As- sociation and shall be responsible for its management, policies and program. It shall further be the representative of the Association among the clubs, classes, dis- tricts and groups from which its members are drawn. The Council shall endeavor to assist the College and the Association in every possible manner and through its members secure the interest and coopera- tion of other members of the Association and friends of the College. Section 2. The Executive Board The Executive Board shall carry on the affairs of the Council between meetings, shall make and present to the Council an annual report and a budget of estimated revenue and expense, and shall direct and supervise the detailed features of the As- sociation and its program. Section 8. The President The President shall preside at all meet- ings of the Association, of the Council, and of the Executive Board; appoint com- mittees ; and perform such other duties as may pertain to the office. Section 4. The Vice Presidents In the absence of the President, the Vice Presidents shall perform the duties of the President in order of their class seniority. They shall perform such other duties as the President may request. - Section 5. The Executive Secretary-Treasurer The Executive Secretary-Treasurer shall perform such duties and be under such corporate surety bond as the Executive Board may determine. He shall be the Ex- ecutive Officer of the Association, shall attend all meetings of the Executive Board and Association Council, and shall keep all the records and proceedings thereof. He shall, under the direction of the Executive Board, have charge of the books and ac- counts of the Association, conduct the cor- respondence, be responsible for the prop- erty of the Association, prepare and as nearly as possible keep up-to-date a di- rectory of graduates and former students, be in full charge of all departments of the Association, cooperate with the College, and in general carry out such duties as may be assigned to him by the Executive Board. The Executive Secretary-Treasurer shall be responsible for the receipt, dis- bursement and proper acknowledgment of all moneys or other contributions and for the adequate accounting of the same. Section 6. The Student Loan Trustees The Student Loan Fund Trustees shall have sole and distinct supervision of the handling and loaning of funds acquired by the Association for loans to students attending the College, subject to such gen- eral policy as the Council may establish and in conformity with the terms of any gifts or endowments. The Trustees are empow- ered to make rules and regulations for the proper conduct of student loan fund opera- tions. Their action shall be subject to change by a two-thirds vote of the entire Association Council. ARTICLE V—MEETINGS Section 1. Lt. in the 36th Divi- sion, taking his training at Camp Bowie and Florida. He went over- seas in April of 1943, leaving his division in January ’44 at Casino and joining the Rome Area Com- mand. His last overseas duty was as Chief of Real Estate. He was hospitalized and returned to the states in October, 1945, and is now at Brooke General Hospital, Fort Sam Houston. He holds the bronze spring on a definite date designated from year to year by the Executive Board. (b) A fall meeting of the Council may be held on the campus on a date designated by the Executive Board if such meeting is at all possible and practical. (c) Additional or special meetings of the Council may be called either by action of the Executive Board or by petition to the President when signed by twenty-five mem- bers of the Council. (d) Twenty-five per cent of the members of the Council shall constitute a quorum. Section 2. Of the Executive Board (a) The Executive Board shall hold at least three meetings during the year. (b) The first meeting shall be held with- in thirty days following the annual meeting of the Council in order to organize and transact such other business as may be nec- essary. (ec) The second meeting shall be held on some date during the months of Septem- ber October or November. (d) The third meeting shall be held dur- ing the months of January,February or March. (e) Additional or special meetings may be called by action of the Board itself, by the President or by written requests of three members to the President. (f) Six members of the Executive Board shall constitute a quorum for meetings of that Board. Section 3. Order of Business The Association Council . Call to order and remarks of pre- siding officer. . Miscellaneous (b) The Executive Board Same as for Council : ARTICLE VI—COMMITTEES Section 1 The Executive Board shall authorize the appointment of such standing and special committees as may be required. ARTICLE VII OFFICIAL PUBLICATION Section 1. Purpose 4 There shall be an official publication of this Association to be known as the ‘Texas Aggie” to be issued periodically, the pur- pose of which shall be to keep the former students of the College informed of general former student undertakings, of matters of particular interest to former student groups or-individuals, and of general Col- lege progress and plans. : Section 2. Direction and Control The Texas Aggie shall be published by the Association under the direction of the Council, the Executive Board and the Ex- ecutive Secretary. Section 3. Circulation The Texas Aggie shall be sent to all members participating in the financial program of the Association, whatever such program shall be, and to any others desig- nated by the Council. ARTICLE VIII— THE STUDENT LOAN FUNDS . Section 1 The Student Loan Funds of the Associa- tion shall be under the distinct supervision of the Student Loan Fund Trustees, and shall be administered in accordance with general rules established by the Trustees, subject to such general policy as the Coun- cil may establish and in conformity with the specific terms of any gifts or endow- ments. Student Loan Funds shall be main- tained in separate bank accounts, and separate records shall be kept. ARTICLE IX—THE TEXAS A. &M. DEVELOPMENT FUND (a) The Texas A. & M. Development Fund is designated as the official agency for the solicitation of contributions for the maintenance of the Association and for the benefit of the College. The Presi- dent of the Association shall be an ex of- ficio member of the Board of said Fund, and the Executive Secretary of the Assoc- iation shall be an executive officer of such fund. Association representation on the governing Board of such Fund shall be chosen in accordance with the Constitu- tion of the Fund, provided such Constitu- Sion be approved by the Association Coun- cil. (b) Promotion and development of the Development Fund program shall be re- garded as one of the major purposes and objectives of the Association. 1 ARTICLE X—A. & M. CLUBS Each regularly organized local A. & M. Club shall be given a charter by the Association in accordance with rules and regulations laid down by the Executive Board and approved by the Association Council. Each chartered club shall have the privilege of electing one of its members as its representative on the Council as heretofore provided. The Association shall not be involved or held responsible for any financial affairs of any local club, nor shall any local club be held responsible for any obligation of the Association. To hold an Association club charter any club must have a minimum of ten mem- bers and maintain such standing commit- tees as may be requested by the Council. ARTICLE . XI—CLASSES Each class that has graduated from the College shall be requested to maintain an organization consisting of a President and Class Agent. He may be one and the same. Each class shall have the privilege of electing or naming a representative on the Association Council as heretofore provided. It shall be the duty of the Class Agent to assist the Association in encouraging mem- bers of his class to make annual contribu- tions to the Association’s financial pro- gram. ARTICLE XII—ANNUAL MEETING An annual meeting of the members of the Association shall be held in the spring of each year on the campus on a date des- ignated by the Executive Board, provided that in periods of national emergency such annual meeting may not be held at the discretion of the Association Council. ARTICLE XIII—AMENDMENTS The Bylaws of this Association may be amended or changed by a two-thirds vote of the members of the Association Council present at any regular annual meeting called for the purpose of amendment, pro- vided notice of such proposed changes or amendments has been mailed in writing to each member of the Council at least thirty days prior to the meeting. (jg) Jack Connor has returned to his home in Pasadena, Texas, after two years with the Navy in the Pacific. He plans to resume his medical studies after discharge. Lt. Leo H. Daniels has been enjoying Charles the winter sports in Austria. A recent news story and picture showed him just as he had navigated the 31% miles ski trail down the slopes of a nearby mountain in Salzburg. Leo will be remembered as a former backfield football star. He wis all-Southwest conference in 1941. Mrs. Daniels is making her home at College Station while Leo is doing overseas duty. Sgt.
